הנהלת מוסדות חב"ד באה"ק ת"ו ד' עליהם יחיו
שלום וברכה!
במענה על שאלות בנוגע לחוות דעתי בחילוק התפקידים והבעלות של הנהלת מוסדות חב"ד באה"ק ת"ו, של אגודת חב"ד ושל המבקרים, אשר אודותיהם מדובר במכתבי הקודמים... ליתר שאת הנני בזה עוה"פ, וזוהי דעתי בענין חילוק התפקידים הנ"ל:
א. כמו שכתבתי במכתבי הקודמים לאגו"ח, טוב ונכון אשר כל מוסד תהי' לו אוטונומי' שלו ויעמוד בקשר ישר לכאן, ואגו"ח לא תתערב בעניניהם הפנימיים של המוסדות.
ב. אגו"ח תייצג את המוסדות כלפי חוץ, בענינים שבהם להיות מוסדות חב"ד כגוש אחד, ולכן צריך שבהנהלת אגו"ח יהי' בא-כח מכל אחד מהמוסדות, ואמנם יש בההנהלה עתה בא-כח מכל מוסד ומוסד.
תפקיד המבקרים הוא, כהוראת המלה, בקורת, היינו לבקר את עבודת הנהלת המוסדות ולעמוד בקישור ישר עם כאן ולהודיע מהנעשה בהמוסד. ולכן על הנהלת המוסד לתאר לפניהם עבודתם, להראותם ספרי החשבונות וכו', אבל אין ביד המבקר ליתן פקודות, לשנות החלטות ההנהלה או להחליט דבר בהמוסד.
ד. מובן מעצמו שהן אגו"ח והן המבקרים רשאים להגיש הצעות להנהלת המוסד, ולא עוד אלא שמחוייבים בזה, אם מוצאים ענינים שאינם מתאימים למטרת המוסד או ענינים המקלקלים בכלל, אבל כל זה אינו אלא בתור הצעה.
ה. כתוצאה מכל הנ"ל, הנה האחריות בעד התפתחות כל מוסד ומוסד מוטלת על הנהלת המוסד, והיא היא שצריכה לנקוט בכל הצעדים הנחוצים לקיום המוסד והתפתחותו. וכן על המבקרים מוטלת האחריות לדעת כל פרטי עבודת המוסד, להציע על דבר תיקונים הנחוצים לפי דעתם (אך ורק בתור הצעה כנ"ל) ולהודיע לכאן אם נמצא איזה ענינים או פרטים המזיקים או שאינם מתאימים למוסד.
אקוה שאחרי כל הנ"ל אין כל מקום לספיקות ופירושים שאינם בדעתי, וכמו בנוגע למכתבי די"ג כסלו, בקשתי לכל המוסדות לאשר קבלת מכתבי זה, ושלום על ישראל.

In response to questions regarding my opinion on the division of roles and ownership between the administration of Chabad institutions in Eretz Yisrael, Agudas Chabad (Aguch), and the auditors—as discussed in my previous letters—I wish to further clarify my position on this matter:
A. As I wrote previously to Aguch, it is good and proper that each institution should have its own autonomy and maintain direct contact with here (the central office), and Aguch should not interfere in the internal affairs of the institutions.
B. Aguch will represent the institutions externally in matters where all Chabad institutions must act as a unified group. Therefore, there must be a representative from each institution on Aguch's board; indeed, currently there is such a representative from every institution.
The role of the auditors is, as their title suggests, to audit—that is, to review the work of the administration of the institutions and maintain direct contact with here (the central office), reporting on what takes place within the institution. Therefore, the administration must present their work to them and show them account books etc., but the auditor does not have authority to give orders, change board decisions, or make any decisions within the institution.
D. It is self-evident that both Aguch and the auditors are permitted—and indeed obligated—to submit suggestions to the administration if they find matters that do not align with the institution's goals or are generally detrimental; however, all this is only by way of suggestion.
E. As a result of all the above: responsibility for each institution's development rests upon its administration alone; they must take all necessary steps for its maintenance and growth. The auditors are responsible for knowing all details of the institution's work, suggesting necessary corrections (but only as suggestions as above), and informing here if any issues or details are found that are harmful or unsuitable for the institution.
I hope that after all this there will be no room for doubts or interpretations contrary to my intent. As with my letter from 13 Kislev, I request that all institutions confirm receipt of this letter. Peace upon Israel.
Summary
The Rebbe outlines clear boundaries: each Chabad institution should operate autonomously while Aguch represents them externally; auditors may advise but not decide policy. Responsibility for development lies with each administration alone.
