לכתבו ע"ד הצעת השותפות – לכאורה צריך בירור: 1) באם הכל בסדר – למה מוותרים ומציעים לו 40% בעד השקעתו ועבודתו? 2) מה עליו "להוסיף" בעבודתו על הקיים ע"ע? 3) סעיף המגבלות (שימשיכן ב . . . בלעדו, שיקנו מהמסחר בהוספה 5% על הקרן אף שבכלל הריוח גם בסיטונאות יותר בכמה. ועוד) – צע"ג. 4) איך יחלקו המציעים מרצם וכו' בין מסחרם הנפרד להמשותף, ובפרט שכ"ז באותו המקום (עכ"פ בחלקו). 5) סילוק החובות הישנים? 6) שיווי העסק.

Certainly you are maintaining the three daily study sessions in Chumash, Tehillim, and Tanya that are suitable for everyone, and you should continue doing so from now on.
Regarding your letter about the partnership proposal – it seems clarification is needed: 1) If everything is in order, why are they giving up and offering you 40% for your investment and work? 2) What additional work is expected from you beyond what already exists? 3) The clause about limitations (that they will continue... without you; that they will buy from the business with an added 5% on the principal even though generally the profit is much higher in wholesale; etc.) – this needs clarification. 4) How will those making the offer divide their efforts between their separate business and the joint one, especially since both are in the same location (especially regarding your share)? 5) What about settling old debts? 6) Equalizing the business. And more.
Certainly consult about this with merchants among your friends locally, and based on that – decide. Seemingly those making the offer should have clarified these matters with you directly – not raised these issues from overseas.
